Client Responsibilities

2.1 Cooperation: You agree to cooperate with Itagency throughout the project, providing timely and accurate information, materials, and feedback required for the completion of the project.

2.2 Ownership: You represent and warrant that you have the necessary rights and permissions to use any materials (such as text, images, logos, etc.) provided to me for use in the project. You retain ownership of your content, and me does not claim any ownership rights over the client-provided materials.

2.3 Third-Party Services: If the project requires integration with third-party services or software, you are responsible for obtaining any necessary licenses, permissions, or accounts required to use such services.

Payment Terms

3.1 Pricing: The pricing for our services will be agreed upon in the separate agreement or contract. All pricing is in USD and excludes any applicable taxes or additional expenses unless otherwise stated.

3.2 Payment Schedule: Payment terms will be outlined in the separate agreement or contract. Unless otherwise specified, payment is due according to the agreed schedule, and work will commence or be delivered upon receipt of payment.

3.3 Late Payments: In the event of late payment, Itagency reserves the right to suspend work or terminate the project until payment is received. Late payments may be subject to interest charges or additional fees, as outlined in the separate agreement or contract.

Intellectual Property

4.1 Ownership: Unless otherwise agreed upon in writing, Itagency retains all intellectual property rights to the deliverables created as part of the project, including but not limited to design elements, code, and documentation.

4.2 License: Upon receipt of full payment, Itagency grants you a non-exclusive, non-transferable license to use the deliverables solely for your own personal or business use.

Confidentiality

5.1 Confidential Information: Both parties agree to keep any confidential information disclosed during the project confidential and not disclose it to any third parties without the other party’s prior written consent, except as required by law.

Limitation of Liability

6.1 Disclaimer: Itagency will make reasonable efforts to provide reliable and error-free services. However, we do not guarantee that our services will be uninterrupted or error-free, and we shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of the use or inability to use our services.

Governing Law and Jurisdiction

7.1 These Terms & Conditions shall be governed by and construed in accordance with the laws of [Your Country/State]. Any disputes arising out of or in connection with these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts of Bangladesh.
